1. Acceptance of Terms

By accessing or using the BAS Expert website or services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use this website or engage our services.

These Terms constitute a legally binding agreement between you (“Client,” “User,” or “you”) and BAS Expert LLC (“Company,” “we,” “our,” or “us”).


2. Services

BAS Expert provides consulting, programming, design support, troubleshooting, and other services related to Building Automation Systems (BAS), Building Management Systems (BMS), and related technologies.

Services may include but are not limited to:

  • BAS programming and configuration
  • System troubleshooting and diagnostics
  • Remote commissioning support
  • Graphics development
  • System optimization and consulting
  • Technical documentation and advisory services

The exact scope of services will be defined in written agreements, proposals, or project statements between BAS Expert and the client.


3. Use of Website

You agree to use this website only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their ability to use the site.

You may not:

  • Attempt to gain unauthorized access to systems or networks connected to this website
  • Use the site to distribute malicious software or harmful content
  • Copy, reproduce, or redistribute website materials without permission
  • Misrepresent your identity or affiliation
     

4. Intellectual Property

All content on this website, including text, graphics, logos, designs, software, and documentation, is the property of BAS Expert LLC unless otherwise stated.

These materials are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.


5. Client Responsibilities

Clients agree to:

  • Provide accurate information necessary to perform services
  • Maintain appropriate access permissions to systems involved in the work
  • Ensure compliance with applicable laws and building regulations
  • Maintain backups and proper system safeguards


BAS Expert is not responsible for issues arising from inaccurate information, unauthorized modifications, or third-party system changes.


6. Fees and Payments

Service fees will be defined in proposals, contracts, or service agreements.

Unless otherwise stated:

  • Invoices are due within 30 days of issuance
  • Late payments may incur additional charges or service suspension
  • BAS Expert reserves the right to suspend services for unpaid balances
     

All fees are non-refundable unless otherwise stated in writing.


7. Service Availability

While BAS Expert strives to provide reliable services, we do not guarantee uninterrupted availability of systems, networks, or third-party platforms.

Maintenance, software updates, network outages, or other circumstances outside our control may affect service availability.


8. Limitation of Liability

To the maximum extent permitted by law, BAS Expert shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to:

  • Loss of business or revenue
  • System downtime
  • Data loss
  • Operational disruptions
     

Our total liability related to services provided will not exceed the amount paid by the client for the specific service giving rise to the claim.


9. Third-Party Systems

Building automation systems may involve third-party hardware, software, and network infrastructure.

BAS Expert is not responsible for:

  • Manufacturer defects
  • Third-party software failures
  • Network or internet outages
  • Security vulnerabilities outside our control
     

10. Confidentiality

Both parties agree to protect confidential information shared during the course of services.

Confidential information includes technical documentation, system configurations, proprietary processes, and business information not publicly available.

This obligation survives the termination of services.


11. Termination

Either party may terminate services with written notice as defined in the service agreement.

BAS Expert may terminate services immediately if:

  • Payment obligations are not met
  • Terms of service are violated
  • Work cannot be completed due to lack of required access or cooperation
     

All completed work and incurred fees remain payable upon termination.

12. Changes to These Terms

BAS Expert reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date.

Continued use of the website or services constitutes acceptance of the updated terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

Any disputes arising from these Terms or services shall be resolved in the appropriate courts located in Michigan.
